Subscription and Services Agreement

This agreement governs a customer's paid or trial access to TickerChats, including workspace administration, permitted use, subscription billing, data handling, support boundaries, suspension rights, and termination effects.

1. Contract scope

TickerChats provides access to a cloud-based construction project management platform, related web interfaces, public collaboration pages, and supporting services identified in the applicable order, subscription checkout, or service description. The platform may include workspace collaboration, project records, messaging, attachments, forms, reports, calendars, workforce modules, support workflows, and integrations enabled by the customer's plan.

TickerChats is operated by Wexrowe Integrated Solutions LLC, 32 N Gould Street, WY 82801, Wyoming, United States of America.

2. Accounts, workspaces, and administrators

  • The customer is responsible for designating workspace administrators and controlling who receives access to each workspace or project.
  • Administrators may invite, suspend, or remove users, assign roles, configure project access, and control the visibility of uploaded records, attachments, and collaboration data.
  • The customer is responsible for the actions of its users, contractors, and invited collaborators that access TickerChats through the customer's tenant or workspace.

3. Permitted use and restrictions

  • TickerChats may be used only for the customer's internal business operations and project collaboration activities within the licensed scope.
  • The customer must not misuse the service to store unlawful content, distribute malware, scrape restricted areas, interfere with security controls, or reverse engineer non-public platform components except where mandatory law expressly permits it.
  • Public pages, shared links, and guest-facing workflows must not be used to collect or publish content that infringes third-party rights or breaches applicable law.

4. Customer data and platform rights

As between TickerChats and the customer, customer data remains the customer's data. The customer grants TickerChats the limited rights required to host, copy, transmit, index, convert, back up, secure, and otherwise process customer data solely to provide, maintain, support, secure, and improve the subscribed service in accordance with the agreement, applicable law, and the TickerChats privacy and data-processing materials.

Third-party services

Certain features depend on third-party providers for storage, email delivery, payment processing, anti-abuse checks, AI-assisted workflows, mapping, and external account integrations. Verified vendors are listed on the Subprocessors page.

5. Fees, term, renewal, and suspension

  • Subscription fees, billing periods, taxes, and plan scope are defined in the applicable order, checkout, or pricing arrangement.
  • Unless otherwise stated in writing, subscriptions renew for successive terms matching the initial subscription period until cancelled before the renewal date.
  • TickerChats may suspend access for material breach, overdue amounts, security threats, abuse, or unlawful use, provided that commercially reasonable notice is given where the circumstances permit.

6. Support, service changes, and availability

TickerChats may update the service, refine workflows, modify interfaces, and add or remove features as the platform evolves. Material changes will be reflected in the service description or communicated through normal product channels. Maintenance windows, third-party outages, or internet connectivity issues may temporarily affect availability.

7. Confidentiality, security, and privacy

  • Each party must protect the other party's non-public confidential information using reasonable safeguards.
  • Where TickerChats processes personal data on behalf of the customer, the TickerChats DPA governs that processing.
  • The customer remains responsible for determining whether its intended data uploads and workflows are lawful and appropriate for the service.

8. Warranties, liability, and termination effects

  • TickerChats will provide the service using commercially reasonable care, but does not promise uninterrupted or error-free operation.
  • Indirect, incidental, special, and consequential damages, including lost profits and project-delay damages, are excluded to the maximum extent permitted by law.
  • On termination or expiration, the customer should export required data before access ends. Unless otherwise agreed or required by law, TickerChats may delete remaining customer data after the post-termination retention window described in the DPA or service description.
